This App Addendum is incorporated into the Agreement if You selected and paid for an application license priced by Monthly Active Users (MAU) in the Order Invoice, and provides additional rights for the License by allowing You to use the Fonts in one compiled application (“App”) only. We grant You under the License the additional rights stated in this addendum. This License may only be used by You, at the MAU Tier specified in the Order Invoice. For clarification, a single App is defined as one functionally equivalent software application that may be developed for multiple operating systems, such as MacOS, Windows, iOS, Android, or Windows Phone.
a. Editable Use. The use of the Fonts for static, dynamic or editable text is permitted. However, providing the ability for a user of the App to edit text using the Fonts is not allowed if the result is a new document such as a personalized invitation or greeting card, customized product, or any other material for use outside of the App. You shall not use the Fonts as a tool or resource for third parties to create customized products, documents, or other material.
b. Third-Party Use. This License does not extend to third parties. If You are using the Fonts for the creation of an App for a third party, You or the third party must purchase appropriate licenses to cover their use of the Fonts. You are responsible for any liability arising from Your inclusion of Fonts in applications not owned by You.
c. Definition of Monthly Active Users (MAU). “Monthly Active Users” or “MAU” means the number of unique end users who open the App at least once during a rolling thirty (30) day period, as reported by Your analytics platform (such as Firebase, Mixpanel, Amplitude, Apple App Store Connect, or Google Play Console). A “unique end user” is identified by a unique device identifier or user account, with each device or account counted only once per reporting period regardless of session frequency.
d. License Pricing by MAU Tier. The price of the License is determined by the MAU Tier specified in the Order Invoice. The Licensed MAU Tier represents the maximum permitted MAU for the App during the License term. The MAU Tiers are: Pre-launch / under 10,000 MAU; 10,000 MAU; 100,000 MAU; 1,000,000 MAU; 10,000,000 MAU; 100,000,000 MAU; and 1,000,000,000+ MAU (custom quote required).
e. MAU Reporting. You agree to provide accurate self-reported MAU figures for the App, on a calendar-quarter basis, within thirty (30) days of the close of each quarter, sent to the contact email We provide for license administration. Reports shall include the MAU figure for the trailing rolling 30-day period at quarter close.
f. Audit Rights. In addition to the audit rights granted under Section 7 of the Agreement, We reserve the right to audit Your reported MAU figures against verifiable third-party data, including App Store Connect cumulative download reports, Google Play Console reports, and analytics platform exports. If an audit reveals MAU exceeding the Licensed MAU Tier, You shall pay the difference between the License fee paid and the License fee corresponding to the actual MAU Tier, retroactive to the date the actual tier was first exceeded, plus reasonable audit costs.
g. Tier Upgrades. If Your App’s MAU grows to exceed the Licensed MAU Tier during the License term, You shall upgrade to the next applicable MAU Tier within sixty (60) days. Upgrade fees shall be the difference between the prepaid License fee and the License fee for the new MAU Tier, prorated for the remaining License term. The Licensed MAU Tier may not be downgraded mid-term except by mutual written agreement.
h. Multiple Apps. This License covers one App only. Use of the Fonts in additional Apps owned by You requires separate licenses for each App, priced according to each App’s individual MAU. Portfolio licenses across multiple Apps may be available upon request as a custom quote.
